Is every Company supposed to file an Annual Return?

Yes, every Private Limited Company is supposed to file an Annual Return.

What information does an Annual Return confirm?

An Annual Return confirms the following information;

1. The registered office of the company
2. Share structure of the company
3. Directors, secretary and auditors information
4. Shareholder information
5. etc.

What information does Companies Made Easy need to file an Annual Return?

We will need your company name and company number. These will allow us to carryout a file search so we can find all the information we need to file the Annual Return.

When is my declaration of annual return due?

You must file at least one Annual Return every 12 months. Your 12 month period starts on either:

• the date your company was incorporated
• the date you filed your last Annual Return

You must file your Annual Return within 21 of your annual return being due.

Example

Your new company is incorporated on 1 January 2022.

What happens if I do not file my Annual Return?

There is a financial penalty for every Annual Return that is not filed in time. You also risk your company being de-registered and being struck off from the Companies Register. The Registrar of Companies can impose a civil penalty on the directors of the company which will damage the reputation of the company and it’s directors.
