What is the minimum number of directors in a company?
The minimum number of directors in a Private Company is 2 and the maximum is 50.
Are directors also shareholders?
Directors do not have to be shareholders. Their role is to run the company, so there is no requirement to also be an owner if they do not wish to be.
However, if existing shareholders do want to offer shares to the company directors, this is perfectly acceptable and a fairly common practice.
What is the role of company directors?
Directors are appointed by the owners of a company (shareholders or guarantors) to ‘direct’ the day-to-day activities of the company on their behalf.
They are responsible for ensuring the smooth running and management of a company by adhering to all legal and contractual obligations and making the company successful and profitable.
Who can appoint company directors?
Shareholders can appoint or resign a director whilst setting up a company – or any time thereafter.
Can anyone be a director?
No. You cannot be a dirctor if you are;
- a body corporate; or
- a minor or any other person under legal disability; or
- a person who is removed by the court from any office of trust on account of misconduct save with the leave of the court; or
- a person who has at any time been convicted whether in Zimbabwe or elsewhere, of theft, fraud, forgery or perjury and has been sentenced
therefore to serve a term of imprisonment without the option of a fine …

It usually takes upto 5 working days to appoint or remove directors at the Companies Registry.
I am not a Zimbabwean, can I be a company director?
Yes. You do not need to be a Zimbabwean national or resident to be a director.
